Agfa acquires GWI

Agfa HealthCare has reached a deal to acquire the shares of Bonn, Germany-based GWI, a European healthcare information system (HIS) and electronic patient record (EPR) developer.

The transaction price consists of an up-front payment of 256.5 million euros ($347.76 million U.S.) and an earn-out of up to 95 million euros ($124.4 million), dependent on the achievement of specific commercial milestones, Agfa said. The acquisition is subject to regulatory approvals, and is expected to close at the beginning of 2005.

The purchase price will be settled in cash, according to the Mortsel, Belgium-based vendor.
