Kodak to buy Lumisys

Film and PACS firm Eastman Kodak of Rochester, NY, said yesterday that it has agreed to acquire Lumisys, a Sunnyvale, CA-based manufacturer of film digitizers and computed radiography systems. The $39 million deal will include Lumisys' AuntMinnie.com Internet business.

Under terms of the agreement, Kodak has agreed to pay $4.05 a share for Lumisys, whose shares closed at $2.56 on Nov. 9, just before the deal was announced. The transaction is subject to shareholder and regulatory approval.

The acquisition will round out Kodak's computed radiography portfolio by giving it access to the Lumisys ACR-2000 desktop system. At the same time, the Lumisys digitizer product line will give Kodak customers additional options for moving into digital image management, according to the companies.

Lumisys will become a Kodak subsidiary, with AuntMinnie.com remaining a subsidiary of Lumisys. Dr. Phillip Berman will remain as chairman and CEO of AuntMinnie.com.
